1. Agreement to Terms

"CORAL CODE," our logo, product names (CompliCentral, StreamScale, FlexiCore, Phoenix ATS, SmartBid AI, Aqua Pulse), and related marks are trademarks or registered trademarks of CORAL CODE. You may not use these marks without our prior written consent.

3.3 User Content

You retain ownership of any content you submit to our Services. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content as necessary to provide and improve our Services.

4. Service Level and Availability

4.1 Service Availability

We strive to maintain high availability of our Services. However, we do not guarantee that the Services will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

7.2 No Guarantee

We do not warrant that the Services will meet your requirements, be error-free, secure, or that defects will be corrected. You use the Services at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORAL CODE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless CORAL CODE, its affiliates, and their respective directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any harm caused to third parties through your use of the Services.

10. Third-Party Services and Links

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by CORAL CODE. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any third-party services.

11. Termination

11.1 Termination by You

You may terminate your use of the Services at any time by discontinuing access to the Services and notifying us at info@coralcode.com.

11.2 Termination by Us

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to: (a) violation of these Terms; (b) fraudulent or illegal activity; (c) non-payment of fees; or (d) request by law enforcement or government agencies.

11.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, limitations of liability, and dispute resolution) will remain in effect.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Turkey, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration or in the courts of Turkey, as appropriate.

12.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Turkey for the resolution of any disputes.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last Updated" date or by sending you an email notification.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Services.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and CORAL CODE regarding the use of the Services and supersede all prior agreements and understandings, whether written or oral.

16. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision shall be null and void.
